Valuation
Practice Valuation is relevant throughout the
life of an orthodontic practice. It is obviously imperative
during a period of transition—forming the basis
for the buy-in/buy-out. But it is also a vital tool
for benchmarking and goal setting periodically through
an orthodontic career—ensuring targeted growth
and profitability—and no wasted opportunities.
A Valuation also hastens the ability to find a swift
replacement, should death or disability occur.
Valuation (off-site)
This report begins with a request for completion/compilation
of 3 years of relevant statistical and general practice
information. This type of Valuation can represent
substantial cost and time saving factors, as no
travel costs are incurred. If you have already identified
a buyer, this is often the most economical choice—as
it would be if you are valuing your practice for
protection in the case of death or disability.
Valuation (site visit)
This type of Valuation also requires relevant
pre-work after which we send a Bentson Clark & Copple representative
to your office for one day. This type of valuation
is recommended if an associate/buyer has not yet
been located, as it allows us to accurately market
your practice to potential candidates.
Both reports are extremely comprehensive and include
not only the “Value” but additionally
critical financial information for the three most
recent years, including Key Operating Statistics,
P&L Statements, Profit Realization, Case Start
Analysis, Case Start Comparisons, Fee Trending, Collections
Trending, Collections & Practice Income Trending,
Income Statement History and Justification of Purchase
Price, to name a few.
All information is provided in a visually appealing
format that is easy to read and understand and forms
an excellent tool for goal setting or as the basis
for transition.
Transition
Orthodontic transition might be sale for
retirement, the entrance of a family member, a partner
search for a practice that has grown beyond the scope
of a solo practitioner, the acquisition of another
office(s) or the spinning off of one or more satellites.
Whatever the reason, Bentson Clark & Copple will work with
you to make the process as successful and stress-free
as possible. If you are the Seller, we offer the following
services.
Listing Agreement
Bentson Clark & Copple works closely with Sellers to assist
with locating suitable candidates for buy-out of all
or a portion of their orthodontic practice.
Preliminary Transition Services
These services include preparation of comprehensive
cash flow analyses, taking into consideration items
such as financing options, amortization schedules,
formulation of basic transition structures, equitable
allocations, employment parameters, salary parity
and others. Bentson Clark & Copple will conduct telephone sessions
with Sellers and Buyers, produce transition questionnaires
and mediate the onset of the transition process between
Seller and their advisors and Buyers and their advisors
up to and including the signing of the Letter of Intent
by both parties.
Definitive Documentation Services
These services include preparation of necessary legal
definitive documentation, including but not limited
to a stock or asset purchase agreement, employment
agreements, covenants not to compete, security agreement,
pledge agreement, promissory notes, bills of sale
and any other documents deemed necessary by Bentson
Clark & Copple and its legal counsel.
SERVICES FOR RESIDENT ORTHODONTISTS
Valuation Review
If you are considering a practice for purchase and
the Seller has had a Valuation performed, Bentson
Clark & Copple can, if requested, review that Valuation for
accuracy. Work of this nature is billed at an hourly
basis.
Practice Valuation
If you find a practice opportunity and the Seller
HAS NOT yet had a Valuation performed, we can contact
that Seller to see if he/she might like to use Bentson
Clark & Copple's services. Valuations are typically an
expense incurred by the Seller; however, at times,
services of this nature are split between the Seller
and Buyer.
Matching Services
Bentson Clark & Copple offers a FREE matching service to all
orthodontic residents. Simply register

you with potential practice opportunities as they
come to light.
Financing
We have contact with several lending institutions
who are able and willing to provide financing for
all or a portion of an orthodontic transition. Call
